01
Agreement and order of precedence
These Terms govern access to the Emposola website and the general use of our account and service features. By using the site or creating an account, you agree to these Terms. If you do not agree, do not use the affected service. You must have authority to accept these Terms for a business you represent.
A signed master services agreement, statement of work, approved quote, order confirmation, or product-specific terms may add to or replace a conflicting provision for that engagement. Those engagement documents control the scope, deliverables, milestones, acceptance process, price, support, and any negotiated terms. These Terms do not create a project commitment until we accept an order or both parties approve a written scope.
02
Services, products, and scope
Emposola provides digital design and development, websites and commerce, software and systems, AI and automation, marketing and creative services, hosting and infrastructure support, security-related services, operations support, consulting, and related digital products. Descriptions on the site are summaries, not complete technical specifications or guarantees of fit.
A service or product may be fixed-price, recurring, a published range, or quote-led. A quote-led or range-priced item is not a final offer to perform all possible work at the lowest displayed amount. Before work begins, the written scope should identify what is included, assumptions, exclusions, dependencies, customer responsibilities, timing, acceptance steps, and fees. Additional work requires an approved change or separate order.
Timelines depend on timely access, content, approvals, third-party services, and customer decisions. We will communicate material dependencies and changes. A date is a target unless an engagement document expressly makes it a binding deadline.
03
Accounts, eligibility, and security
Provide accurate account and contact information, keep credentials confidential, and promptly report suspected unauthorized use. You are responsible for actions taken through your account except to the extent caused by our breach or applicable law. Do not share another person’s account or attempt to bypass access controls.
We may limit, suspend, or terminate access where reasonably necessary to protect security, comply with law, respond to non-payment, prevent abuse, or enforce these Terms. Where practical, we will provide notice and an opportunity to address the issue. Account deletion can be requested in Dashboard → My Account → Sensitive section. A request immediately restricts sign-in and schedules permanent deletion after 30 days. An administrator may verify or cancel it, or permanently delete an account sooner. Business and transaction records may be retained where legally required or reasonably necessary.
04
Customer responsibilities and acceptable use
You agree to provide materials and instructions you are authorized to use and to review work, give timely feedback, and maintain any access or licenses needed for the project. You must not:
- Use the site or services for unlawful, fraudulent, deceptive, infringing, abusive, or harmful activity.
- Upload malicious code, probe systems without written authorization, disrupt service, or attempt to access accounts or data that are not yours.
- Provide personal, confidential, regulated, or sensitive data unless the scope and appropriate safeguards have been agreed in writing.
- Misrepresent your authority, ownership of supplied content, or right to instruct us to process data.
- Use AI or other delivered systems without appropriate human review where their output could materially affect a person, business, safety decision, legal right, or financial outcome.
05
Prices, orders, and taxes
Prices are shown in the currency stated on the relevant page, generally USD, and may change before an order is accepted. A saved cart or displayed price does not guarantee availability or acceptance. The amount presented at checkout or in an approved quote is the amount to review before payment. Applicable taxes, fees, billing periods, and recurring terms should be shown in the checkout or engagement documents.
The checkout currently calculates a 15% tax line using the site’s configured rate. Tax treatment can depend on the service, customer, and jurisdiction; contact us before paying if your billing situation requires review. We will not intentionally charge an undisclosed amount. You are responsible for taxes legally imposed on you, other than taxes on Emposola’s net income.
06
Payment, recurring services, and late amounts
Payment is due as displayed at checkout or stated in the approved order or invoice. Project deposits and milestone amounts are governed by the written proposal, not by an assumed universal split. Online card entry is handled by Stripe checkout where available. We do not ask you to send a full card number or security code through email or support chat.
A recurring subscription renews at the price and interval disclosed when you approve it. Renewal, cancellation, failure, and refund rules are described in the checkout and Payment Policy. Contact us before the next renewal date to request cancellation; where a provider’s billing portal is available, use that portal as well. We may pause work or access for overdue undisputed amounts after reasonable notice, subject to applicable law and the engagement agreement.
07
First-purchase promotion
If a first-purchase promotion is active and shown, its current percentage and eligibility rules are displayed on the site and verified during secure checkout. The offer is for registered customers on eligible fixed-price items, is limited per account and exact catalog item, and does not apply to guest purchases, custom quotes, or quote-only ranges. Subscription treatment and renewals are shown before payment. Checkout is authoritative if eligibility differs from a promotional summary. We may change or end a promotion prospectively, subject to offers already accepted and applicable law.
08
Changes, review, and acceptance
Unless an engagement document defines another process, you should review a deliverable within the stated review period and give one consolidated list of material issues against the agreed acceptance criteria. Included revisions are limited to what the approved scope states; new directions, added functionality, or changed requirements may require a change order. We will not treat silence as acceptance where applicable law prohibits it.
You are responsible for checking that delivered content, code, configurations, integrations, and AI-assisted outputs meet your operational, security, accessibility, regulatory, and business requirements before production use, except to the extent the engagement explicitly assigns that responsibility to us.
09
Intellectual property and customer materials
You retain rights in materials you provide and grant us a limited license to use them to perform the engagement. You are responsible for having the permissions needed for those materials.
Unless a signed agreement says otherwise, after full payment we assign to you the rights we own in the custom deliverables specifically identified for transfer in the approved scope. We retain our pre-existing tools, frameworks, templates, know-how, and reusable components. If any are included in a deliverable, we grant a non-exclusive license to use them as needed with that deliverable. Third-party software, stock assets, fonts, open-source components, and AI-provider terms remain subject to their own licenses and conditions.
We may identify completed work in a portfolio only where the engagement permits it and doing so does not disclose your confidential information. You may ask us in writing to keep a project confidential before publication.
10
Third-party services, AI, and availability
Projects may depend on hosting providers, APIs, app stores, payment processors, AI models, networks, or other services outside our control. Their availability, pricing, terms, data handling, and behavior can change. We will identify material dependencies that are within the agreed scope, but we do not control third-party services and are not responsible for their independent acts or outages.
Unless expressly guaranteed in a signed agreement, the site and general descriptions are provided without a promise of uninterrupted availability, error-free operation, specific revenue, search ranking, security outcome, or business result. Any service-level commitment must be written into the applicable agreement.
11
Confidentiality and privacy
Each party should protect the other’s non-public information using reasonable care and use it only for the relevant engagement. This does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. Disclosures required by law may be made after notice where permitted.
Our Privacy Policy explains website and account data practices. If we process personal data on your behalf, the parties should execute an appropriate data-processing agreement and document instructions, security measures, subprocessors, and deletion/return requirements before that processing begins.
12
Refunds, termination, and unresolved concerns
The Return & Refund Policy and any signed engagement terms govern cancellations and refunds. Either party may use any termination right in the applicable order or agreement. On termination, you remain responsible for approved work performed, non-cancellable commitments disclosed in the scope, and amounts legally due; any refund will be assessed under the applicable terms and law.
Please first raise a concern with emposola@emposola.com so the parties can attempt a practical resolution. Nothing in these Terms prevents a person from exercising a non-waivable statutory right or filing a complaint with a competent regulator.
13
Warranties and limits of liability
We will perform paid services with reasonable care and skill and will correct material nonconformities reported within the period stated in the engagement. Other warranties are only those expressly stated in a signed agreement. Nothing here excludes a warranty or remedy that applicable law does not permit us to exclude.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, loss of profits, or loss of data arising from an engagement. To the extent permitted by law, Emposola’s aggregate liability for a claim connected to an engagement will not exceed the fees paid or payable for that engagement during the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot legally be limited, or to a party’s fraud, willful misconduct, or expressly agreed indemnity obligations.
14
Governing law, updates, and contact
These general website Terms are governed by the laws of the State of New Hampshire, USA, without regard to conflict-of-law rules, except where another law or a signed agreement must apply. Subject to non-waivable consumer protections, the state and federal courts located in New Hampshire may hear disputes. This clause does not prevent either party from seeking urgent relief in a court with jurisdiction.
We may update these Terms by posting a new version and changing the effective date. Material changes to an ongoing engagement will be handled under its agreement and applicable law. If one provision is unenforceable, the remaining provisions continue to the extent permitted. These Terms do not create a partnership, employment relationship, or authority to bind the other party.
